Owner salary and UAE corporate tax: support the deduction
Document owner services, market-value remuneration and the correct relationship classification, including the FTA’s 2026 director and officer guidance.

A salary paid to a working owner can be a genuine business cost, but calling a transfer “salary” does not establish the deduction. The company needs to explain the services received, why the amount reflects market value and which relationship rules apply to the recipient. An owner distribution, a private withdrawal and remuneration for actual work are different things.
The Corporate Tax Law addresses related-party dealings, payments to connected persons and non-deductible owner distributions. The practical task is to prepare a remuneration file that supports the company’s position before the return is approved, rather than trying to justify an arbitrary amount after a tax estimate has been calculated.
Establish the relationship and role first
Identify the person’s ownership interests, directorships, decision-making powers and relationship to other relevant people. Do not assume that every owner, senior employee or relative belongs in the same category. A person can satisfy the definitions of both a Related Party and a Connected Person, and the correct classification matters for the review and disclosures.
The FTA’s April 2026 CTP010 clarification on directors and officers emphasises actual authority and responsibilities rather than relying solely on job titles. It also explains that a person who is both a Related Party and a Connected Person is treated as a Related Party for corporate tax purposes. A label in the payroll system should therefore follow the relationship analysis, not replace it.
Prepare a short role description covering the work performed, responsibility, time commitment, authority and expected outputs. Keep employment or service agreements, governance approvals and evidence of the actual work. A signed agreement is helpful, but an agreement describing services that were never performed does not establish business substance.
Separate remuneration from other owner movements
Review the owner account and payment history alongside payroll. A dividend, a loan repayment, reimbursement of a documented business expense and salary each need their own classification. Combining them into a monthly transfer can make the records difficult to interpret even when the total cash movement is clear.
For an illustrative month, an owner receives AED 35,000: AED 25,000 recorded as remuneration, AED 7,000 as a loan repayment and AED 3,000 as reimbursement of supported company costs. The company should preserve those components and their evidence. Treating the full AED 35,000 as salary because it went to one bank account would obscure both the accounting and deduction review.
A natural person carrying on a business personally should also distinguish drawings from employment costs of an incorporated company. Taking money from one’s own business account does not by itself create a deductible salary paid to a separate employee. Establish the legal person and accounting treatment before adopting an example intended for a company.
Build a supportable market-value assessment
The review should ask what an independent business would pay for comparable services in comparable circumstances. Consider the scope and seniority of the role, hours, business size, skills, location and the overall package. A publicly advertised job title without comparable duties is weak support for an otherwise unexplained amount.
Retain the sources used and why they are relevant. A compensation survey, comparable recruitment information or a reasoned adviser assessment may contribute to the evidence, but their suitability needs review. Record differences that require adjustment, such as part-time involvement, an unusually broad operational role or a package containing significant benefits.
Assess benefits and bonuses together with the remuneration arrangement. Looking only at monthly cash salary can miss other value provided by the company. Explain the basis of variable remuneration and the work or performance it rewards. Avoid setting a year-end bonus solely as the residual amount needed to reduce taxable profit to a target.
Work through an illustrative adjustment
Assume an ordinary taxable company has recorded AED 360,000 of annual remuneration for services provided by an owner. After reviewing the facts, relationship rules and comparables, its tax reviewer concludes that AED 300,000 is the supportable market-value amount for the actual business services. These are hypothetical assumptions, not published salary benchmarks or a statement that this amount is appropriate for a particular role.
The difference is AED 60,000. If the whole AED 360,000 reduced accounting profit and the reviewed rules require restricting the deduction to AED 300,000, the reconciliation reflects the AED 60,000 disallowance. Do not silently change the payroll record to hide the difference between what the company incurred and what is deductible for tax.
The reverse conclusion is not automatic either. If a company pays less than an estimated market salary, it should not invent an additional cash expense or deduction merely to reach the estimate. Any proposed related-party adjustment needs its own legal and factual basis, documentation and disclosure review.
The July 2026 CTP011 clarification confirms that self-assessed transfer-pricing adjustments do not require prior FTA approval. It also addresses support and disclosures, including downward related-party adjustments regardless of transaction value. This is a compliance framework, not permission to create an unsupported deduction.
Review disclosures separately from deductibility
A payment being at market value does not establish that no disclosure is required. Likewise, a reporting threshold is not a universal deductible-salary limit. Check the current return instructions for the correct classification, aggregation and disclosure requirements in the company’s circumstances.
Keep the relationship schedule and remuneration assessment with the return working papers. If the person changes role, authority or ownership during the period, record the dates and reassess the position. A declaration copied from the preceding year can become inaccurate after a new management arrangement or investment round.
Statutory exceptions and specialist circumstances also need consideration. Listed or regulated persons, partnerships and foreign arrangements may require different or additional analysis. An SMB illustration should not be presented as a complete determination for those cases.
Make the file useful before filing
The final file should identify the recipient and relationship, show the actual work, explain the approved package and market-value support, reconcile recorded payments and benefits, and state any adjustment or disclosure decision. Record the reviewer and the version approved for the return.
Link the final adjustment to the accounts-to-tax reconciliation and retain the supporting evidence under the corporate tax records policy. For other categories of spending, use the business-expenses review. A well-prepared file should explain why the payment is remuneration for the company’s business, rather than asking a payroll label to do all the work.
